Terms & Condition

You (Subscriber) agree to the following terms and conditions:

1. Subscriber is hereby granted a non-exclusive, non-transferable, limited subscription to the use the EdgarStat Database for research and consulting, subject to the following restrictions:
   1. Subscriber is permitted to share with third parties only the information and content extracted from the EdgarStat Database that are necessary to substantiate Subscriber’s deliverables on a strict need-to-know and project-by-project basis;
   2. Subscriber shall use standard industry practices for secure access for all access to the EdgarStat Database;
   3. Subscriber shall not share username and password for accessing the EdgarStat Database with persons not employed by Subscriber and/or with persons not in the Subscriber’s local office. This restriction explicitly prohibits Subscribers from sharing the username and password for accessing the EdgarStat Database with persons from the same company but located in different offices;
   4. Subscriber shall not make the EdgarStat website available to multiple users on a network without EdgarStat’s written consent and shall not subcontract with third parties to provide access to EdgarStat data. This restriction explicitly prohibits Subscriber to distribute or publish, with or without monetary compensation, any content or portion thereof of the EdgarStat Database to a third party;
   5. Subscriber shall not distribute or make available, with or without monetary compensation, any books, papers, articles, brochures or other forms of academic or advertising materials in which any content or portions of the EdgarStat Database is published in print, electronically, or any other format;
   6. Subscriber shall not modify, decompile, disassemble, or reverse engineer EdgarStat, the EdgarStat Database, its process, its content, or any portion thereof;
   7. Subscriber shall not assemble or use the EdgarStat Database, or any data or documents obtained from the EdgarStat Database, in any manner that violates EdgarStat’s copyrights or that competes with, substitutes for, or is an alternative to EdgarStat’s subscription services;
   8. Subscriber will have online access to the retrieved company financial information, annual reports and/or loan agreements only during periods when Subscriber has an active subscription. To prevent abuse, EdgarStat reserves the right to limit the exportation or download of search results, agreements, statistical analysis, and any content or portion thereof the EdgarStat Database; and
   9. Subscriber shall not use or permit anyone to use the information provided from the EdgarStat Database for any unlawful or unauthorized purpose.
2. The access, use, citation or assembly of EdgarStat Database, its documents, or any of its contents in a manner not provided in this Agreement shall be forbidden and considered a breach of this Subscription Agreement, unless authorized in writing by EdgarStat and its legal representatives. Subscriber’s breach of this Subscription Agreement shall constitute cause for termination by EdgarStat without need for notice, and without any loss or waiver of EdgarStat’s rights or privileges arising from such breach.
3. Subscriber shall respect and not remove, obliterate, or cancel from view any copyright, trademark, confidentiality or other proprietary notice, mark, or legend appearing on the EdgarStat Database, or any data or documents obtained from the EdgarStat Database; and Subscriber will reproduce and include the same on each output generated by the EdgarStat Database.
4. Subscriber hereby acknowledges and agrees that EdgarStat, the EdgarStat Database, its process, its content, and any portion thereof constitute and contain valuable proprietary information and trade secrets of EdgarStat and/or its suppliers, embodying substantial creative efforts and confidential information, ideas, and expressions. Accordingly, Subscriber agrees to treat (and take precautions to ensure that its employees treat) EdgarStat, the EdgarStat Database, its process, its content, and any portion thereof as confidential and to always exercise a reasonable degree of care in the protection of confidential information.
5. EdgarStat reserves the right to monitor Subscriber usage of the database for the purpose of identifying abuse or misuse and to interrupt, suspend and/or limit Subscriber's access to the EdgarStat Database without notice if it determines the client has abused the database or breached the terms and conditions as detailed in the Agreement.
6. EdgarStat shall have no liability for the accuracy or completeness of the information contained within EdgarStat’s Database, or for delays, interruptions, omissions, or for any lost profits, indirect, special, or consequential damages.
7. All of the above obligations of Subscriber shall survive the termination of any subscription or license granted hereunder for whatever reason.
